3. Management The management of the Club and the control of its property shall be vested in a Council of Members of the Club. The whole Council shall be the Body of Trustees. The Council shall consist of the Officers, Assistant Officers, Permanent Past- Presidents (as provided by Rule 5), Group Representatives (as provided by Rule 7) and six other persons, who shall be known as Ordinary Members of Council. The Council may co-opt other Club Members, not exceeding three, who shall remain Members of Council until the next Annual General Meeting. Five shall form a quorum. All resolutions of the Council shall, save where otherwise expressly stated in these Rules, be decided (if necessary) by the vote of a simple majority of those Council Members present and voting. In the event of a tie the Chairman shall have the casting vote. 4. Retirement of Officers and Members of the Council All the Officers and Assistant Officers of the Council shall retire at the Annual General Meeting each year, but shall be eligible for re-election for the ensuing year. Each year two Ordinary Members of Counci 1 shall retire, but either may become an Assistant Officer or Officer and thus remain on the Council. The two retiring shall be the two longest-serving Ordinary Members. Unless otherwise determined by the Council they shall not be eligible for re-election for the ensuing year. 5. Permanent Past-Presidents Past Presidents shall hold office as Permanent Past-Presidents during their membership of the Club. For a period of five years following their term of office as President they shall be ex-officio Members of Council. They are included in the body of Trustees for this five year period. 6. Recorders The Council may appoint Recorders. Their names and addresses shall be printed with the list of Officers and their duties shall be to keep records within their respective limits of the natural history, geology and lithic archaeology of Essex, and to communicate items of interest to the Club. Each Recorder shall be asked to supply an annual report for publication. 7. Groups Subject to the discretion of the Council, Groups may be formed within the membership of the Club, for the further study of aspects of the natural history, geology and lithic archaeology of Essex. The President and the General Secretary shall be ex-officio members of all Groups or their Committees. Each Group shall elect annually a Representative to serve on the Council. 8. Election of Officers and Members of Council The names of those members nominated by the Council as Officers (and Assistant Officers, if required) and for the vacancies on the Council for the ensuing year shall be printed on the notice calling the Annual General Meeting. Any Member may nominate any other Member for any office or vacancy on the Council. All such nominations, duly seconded, must be sent in writing to the General Secretary, to arrive not less than fourteen days before the Annual General Meeting.
